Terms of Use

These Terms of Use are a business-to-business agreement between in-lite and the dealers and professionals who use the in-lite Light Simulation Tool. They are not directed at, and may not be relied upon by, consumers or end users. The Tool generates AI-based visualisations of outdoor lighting. Its output is an artificial impression for inspiration only — it is not a photograph and not a guarantee of any real-world result.

Article 1 - Applicability and acceptance

  1. The in-lite Light Simulation Tool (the "Tool") is provided by in-lite Outdoor Lighting and its affiliated companies ("in-lite", "we", "us", "our"). The contracting in-lite entity depends on your region: in-lite B.V. (Gorinchem, Netherlands) for users in the EU and the rest of the world; IL Distribution, Inc. (Conover, North Carolina, USA) for users in the United States; and IL Distribution Canada, Inc. (Mississauga, Ontario, Canada) for users in Canada.

  2. By accessing or using the Tool you ("you", "your", the "User") accept these Terms of Use in full. If you do not accept them, you must not use the Tool.

  3. You confirm that the person accepting these terms is authorized to bind the company or organization on whose behalf the Tool is used.

Article 2 - Eligibility: dealers and professionals only

  1. The Tool is made available exclusively to in-lite dealers and to professional installers, designers and landscapers acting in the course of their business or profession. The Tool is not available to consumers and is not intended for private or domestic use.

  2. By using the Tool you confirm that you and/or the company or organization on whose behalf the Tool is used are using it in a professional, business capacity as a customer of in-lite. Because this is a strictly business-to-business arrangement, consumer-protection rules do not apply.

  3. in-lite may verify your eligibility and may refuse, restrict or withdraw access at our discretion.

Article 3 - Access: email and login code

  1. To use the Tool you log in by providing an email address and entering the one-time code we send to that address. You are responsible for providing a valid email address that you are entitled to use.

  2. The login code is personal. You are responsible for keeping it confidential and for all activity carried out under your login.

  3. in-lite may refuse, restrict, suspend or withdraw access at our discretion.

Article 4 - Use of your email address and follow-up

  1. in-lite uses the email address you provide to contact you and to follow up — including for service, account, support, product, commercial and marketing purposes relating to in-lite and the Tool.

  2. in-lite handles your personal data in accordance with our privacy policy and applicable law. Where the law requires consent, for instance, for marketing communications (for example under EU data protection law or the EU-ePrivacy Directive, Canada's CASL, or the US CAN-SPAM Act), in-lite will obtain it as required, and you can withdraw consent or unsubscribe at any time via the opt-out in our messages.   3. If you insert any consumer personal data into the Tool or otherwise share personal data of consumers with in-lite, you are required to refer those consumers to in-lite’s privacy policy. The foregoing also applies to personal data of your personnel.

Article 5 - The Tool and the nature of its output (AI)

  1. The Tool uses artificial intelligence to generate visualisations ("renders") of how in-lite lighting might look. A render is an AI-generated impression — it is not reality, not a photograph, and not a guarantee.

  2. Renders are for illustration and inspiration only. The actual appearance, brightness, colour, beam, coverage, products, materials and overall result of a real installation will differ from the render and depend on the products chosen, the site, the surroundings, weather, time of day, installation and other factors.

  3. You must not rely on a render as the basis for a purchasing, design, electrical or installation decision. Verify the actual products, quantities and installation requirements with in-lite and a qualified professional before acting.

  4. in-lite is not responsible or liable for the content, accuracy, realism or suitability of any render, nor for any decision taken on the basis of it.

Article 6 - Your inputs and uploaded content

  1. If you upload images or other content to the Tool, you confirm that you own them or have all rights and permissions needed to use them, and that they do not infringe any third-party rights or contain unlawful, offensive or sensitive content.

  2. If an image shows identifiable people or third-party property, you confirm you have the necessary consent to upload and process it.

  3. You grant in-lite a worldwide, royalty-free license to host, store, process and use your inputs and the resulting renders to provide, secure, analyze and improve the Tool, in accordance with Article 13 and our privacy policy.

Article 7 - AI and third-party processing

  1. The Tool relies on third-party AI and cloud services to generate renders. Your inputs may be processed by these providers and may be processed in countries other than your own.

  2. By using the Tool you acknowledge this third-party processing, which is described further in our privacy policy. in-lite is not responsible for the independent acts or omissions of these providers beyond what applicable law requires.

Article 8 - Tokens, credits and costs

  1. Use of the Tool may be governed by tokens or credits. in-lite may grant, add, change, reduce, withhold or expire tokens at any time at its sole discretion.

  2. Tokens and credits have no cash value, are non-transferable and non-refundable, and confer no right to any guaranteed level of use.

  3. The Tool may currently be offered free of charge. in-lite reserves the right to introduce charges, fees or paid plans for use of the Tool (or parts of it) at any time, and to change them. Where charges apply to you, they will be made clear before you incur them.

Article 9 - Availability and changes to the Tool

  1. in-lite has the right to change, update, improve, restrict, suspend or discontinue the Tool, or any part of it, at any time and without prior notice.

  2. in-lite does not guarantee any level of availability or uptime, and is not responsible or liable for any damage, loss or inconvenience resulting from downtime, interruptions, maintenance, faults or malfunctions of the Tool, regardless of cause.

Article 10 - Data storage and your duty to save your work

  1. You are responsible for downloading and securely storing your own renders and other outputs. Do not rely on the Tool as a permanent or backup storage location.

  2. in-lite does not guarantee that inputs, renders, files or data will be retained, available or recoverable, and may delete data as part of normal operation.

  3. in-lite is not responsible or liable for any loss of data or files, however caused, including unintended or accidental loss.

Article 11 - No warranty: "as is"

  1. The Tool and its renders are provided "as is" and "as available", without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, in-lite disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement.

Article 12 - Liability

  1. To the maximum extent permitted by applicable law, in-lite is not liable for any direct, indirect, incidental, special, consequential or punitive damages, nor for loss of profit, loss of data or reputational damage, arising out of or in connection with the Tool or its renders — including (a) the AI output; (b) downtime, faults or malfunctions; and (c) loss of data or files.

  2. EU users: nothing in these terms excludes or limits liability for (i) intent or gross negligence; (ii) death or personal injury caused by negligence; or (iii) any liability that cannot be excluded or limited under mandatory applicable law (including, in Germany, liability for breach of an essential/"cardinal" contractual obligation, in which case liability is limited to foreseeable damage typical for this type of contract). Subject to the foregoing, in-lite's total aggregate liability is limited to [EUR 100].

  3. Users in the United States and Canada: to the fullest extent permitted by law, the total aggregate liability of IL Distribution, Inc. (for users in the United States) and IL Distribution Canada, Inc. (for users in Canada), respectively, arising out of or relating to the Tool, will not exceed [USD 100 and CAD 100, respectively]. Some jurisdictions do not allow certain exclusions or limitations; in that case they apply to the maximum extent permitted.

Article 13 - Access, monitoring and improvement

  1. You acknowledge and agree that in-lite, as system administrator, may access and view the inputs and renders created in the Tool in order to operate, support, secure, analyze and improve the Tool, including in aggregated or anonymized form.

Article 14 - Intellectual property

  1. The Tool, including its software, source and object code, algorithms, design, look and feel, interface, databases, data and content provided by in-lite, and all related intellectual property rights (including copyright, database rights, trademarks, trade names, logos and trade secrets) (together, the "IP Rights"), is and remains the sole and exclusive property of in-lite or its licensors. You receive acknowledge and agree that no IP Rights in or relating to the Tool are transferred or assigned to you under these terms, and that nothing in these terms grants you any right, title or interest in the Tool or the IP Rights other than the limited right of use set out below. Subject to your compliance with these terms, in-lite grants you a personal, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Tool solely for its intended professional purpose only.

  2. Subject to third-party rights and applicable law, you may use the renders you generate for your own non-commercial visualisation purposes. in-lite and its licensors retain all rights in the Tool and the underlying technology.

  3. Except where mandatory law expressly permits it, you may not copy, modify, reverse-engineer, decompile, disassemble, scrape, resell , sublicense, rent, lease or create derivative works of the Tool or any of the IP Rights, or remove or obscure any proprietary notices contained in or on the Tool.

Article 15 - Acceptable use

  1. You will use the Tool lawfully and only for its intended purpose. You will not: misuse or overload the Tool; use bots or automated means to generate renders or extract data; attempt to gain unauthorized access; upload unlawful, infringing, offensive or harmful content; or use the Tool in a way that damages in-lite or third parties.

  2. You will indemnify, defend and hold harmless in-lite and its affiliates, officers, directors, employees and agents from and against any and all claims, demands, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of clause 14.1; (b) your misuse of the Tool; (c) any content you upload to, or create using, the Tool; or (d) your violation of any applicable law or third-party right, in each case save to the extent caused by in-lite's gross negligence or wilful misconduct.

Article 16 - Privacy and data protection

  1. in-lite processes personal data in connection with the Tool (including your email address, login data, and any personal data in your inputs or renders) in accordance with applicable data-protection law — the EU/UK GDPR for EU/UK users and applicable privacy laws (e.g., PIPEDA, US state privacy laws) for North American users. See our privacy policy.

2. Additionally, you are required to refer those customers to in-lite’s privacy policy for information purposes.

Article 17 - Suspension and termination

  1. in-lite may suspend or terminate your access at any time, with or without notice, including if you breach these terms or for operational, legal or security reasons. On termination, your right to use the Tool ends; provisions that by their nature should survive (including Articles 5, 6, 10, 11, 12 and 14) continue to apply.

Article 18 - Changes to these terms

  1. in-lite may amend these Terms of Use from time to time. The current version is the version published in or alongside the Tool. If in-lite wishes to change the content of these terms, the amended version will apply from the moment the change has been communicated to the User in writing (including electronically), unless the User objects within 14 days of that notification. Continued use of the Tool after changes take effect constitutes acceptance.

Article 19 - Governing law and jurisdiction

  1. EU and rest of world: these terms are governed exclusively by the laws of the Netherlands. The applicability of the Vienna Sales Convention is excluded. Disputes are subject to the exclusive jurisdiction of the competent court in Rotterdam, unless mandatory law provides otherwise. in-lite nevertheless retains the right to submit the dispute to the court that has jurisdiction under the law.

  2. United States: for users contracting with IL Distribution, Inc., these terms are governed by the laws of the State of North Carolina, USA, and disputes are subject to the courts of that jurisdiction.

  3. Canada: for users contracting with IL Distribution Canada, Inc., these terms are governed by the laws of the Province of Ontario, Canada, and disputes are subject to the courts of that jurisdiction.

  4. All costs incurred by in-lite to enforce or exercise its rights against the User under these terms, both in and out of court, are for the account of the User.

Article 20 - Miscellaneous

  1. If any provision of these terms is void, is annulled, or is deemed unreasonably onerous under standards of reasonableness and fairness, the remaining provisions will remain in full force. in-lite and the User will consult with each other to agree on replacement provisions for the void or unreasonably onerous provision, taking into account as far as possible the purpose and intent of the original provision.

  2. in-lite is entitled to engage third parties in performing these terms and is entitled to transfer its rights and/or obligations under these terms to third parties, including group companies or legal successors, without the User's prior consent. The User may not transfer its rights and/or obligations under these terms to third parties without in-lite's prior written consent.

  3. All notices given in connection with compliance with these terms will be deemed to have been properly given if sent by letter or email to the address or email address last made known by the relevant party.
